1. Policy Purpose
This Code of Conduct (“Policy”) establishes the ethical principles, standards of behavior, and professional expectations applicable to all employees, officers, directors, contractors, and representatives (“Covered Persons”) of [Company Name] (“the Company”).
The purpose of this Policy is to:
- Promote integrity, accountability, and respect in the workplace

2. Scope
This Policy applies to:

3. General Conduct Expectations
All Covered Persons are expected to:

- Act honestly, responsibly, and in the best interests of the Company
- Treat colleagues, clients, and stakeholders with dignity and respect
- Maintain confidentiality and protect Company assets and data
- Report any suspected misconduct, unethical behavior, or legal violations
4. Equal Opportunity, Anti-Discrimination, and Anti-Harassment
The Company is committed to maintaining a workplace that is inclusive, respectful, and free from all forms of unlawful discrimination, harassment, bullying, and victimization.
Covered Persons must not:
- Engage in any behavior that discriminates based on age, sex, race, ethnicity, religion, disability, sexual orientation, gender identity, marital status, or any other protected attribute under applicable law
- Harass or intimidate others through physical, verbal, digital, or non-verbal means
- Retaliate against anyone for making a complaint or participating in an investigation

5. Conflicts of Interest
All Covered Persons must avoid situations where personal interests conflict — or appear to conflict — with their duties to the Company.
Examples of conflicts include:
- Holding a financial interest in a competitor or supplier
- Accepting gifts, bribes, or hospitality that may influence decision-making
- Using Company resources for personal gain
- Engaging in outside employment that interferes with job duties
Disclosure Requirements:
Covered Persons must promptly disclose any actual, potential, or perceived conflicts to [Your Company’s Compliance Officer / Manager / Legal Department].
The Company reserves the right to review and manage conflicts, including through written disclosures, mitigation steps, or reassignment of responsibilities.
6. Use of Company Assets

Covered Persons must not:
- Damage, misuse, or waste Company resources
- Use company devices or systems for unauthorized personal activity (e.g., gambling, illegal downloads)
- Share passwords or access credentials without authorization
- Remove equipment or documents without approval
Personal Use Clause:
Incidental personal use of Company resources (e.g., checking personal email on a work device) is permitted where it:
- Does not interfere with job responsibilities
- Does not breach any Company policies or applicable laws
- Is infrequent and reasonable
7. Confidentiality and Data Protection
All non-public information obtained in the course of business must be treated as confidential unless explicitly authorized for disclosure.
Covered Persons must:
- Protect confidential information relating to the Company, its clients, vendors, and employees
- Store records securely and dispose of sensitive materials appropriately
- Comply with all data privacy laws (e.g., GDPR, CCPA) and internal privacy protocols
- Avoid discussing sensitive topics in public places or on unsecured platforms
This obligation continues even after employment or engagement ends.

8. Social Media and Public Communication

- Use work time to manage personal online profiles excessively
Personal opinions must be clearly separated from Company representation when posting online.
9. Substance Use and Fitness for Work
The Company is committed to a safe and healthy work environment. Covered Persons must report to work fit for duty and not under the influence of alcohol, illegal drugs, or other substances that impair judgment or performance.
Alcohol consumption is only permitted at Company events with prior approval and must be done responsibly.
Possession, distribution, or use of illegal substances in the workplace is strictly prohibited.
10. Workplace Conduct and Professionalism
Covered Persons must demonstrate professionalism in:
- Communication: Polite, inclusive, and respectful language
- Collaboration: Supporting team efforts and listening to different perspectives
- Accountability: Taking responsibility for actions and results
- Ethics: Refusing to participate in or ignore unethical behavior
Workplace attire, punctuality, and responsiveness must also align with company standards and team-specific expectations.

11. Compliance with Laws and Company Policies
